GOOSECHASE ADVENTURES INC. TERMS & CONDITIONS OF PARTICIPATION FOR "HONK IF YOU ❤ CANADA"

Effective Date: August 1, 2025

Goosechase Adventures Inc. (“Goosechase”, “we”, “our”, or “us”) owns and operates the website located at https://www.goosechase.com (the “Website”) and the Goosechase mobile application (the “App”).

Goosechase is offering a public digital experience (the “Experience”) as a public service. The Experience is open to members of the general public who comply with the community guidelines and these Terms of Use. No purchase is necessary to enter or win. The Experience is void where prohibited or restricted by law, and is subject to all applicable federal, provincial, territorial, and local laws and regulations in Canada.

These Terms of Use apply to all individuals who access or use the Website or App, including but not limited to:

• users who browse the Website or App;
• users who create or participate in an Experience;users who upload, submit, or share content via the Website or App; and
• users who otherwise interact with any services provided by Goosechase through the Website or App.

By accessing or using the Website, App, or Experience, you agree to be legally bound by these Terms of Use. If you do not agree to these Terms, do not access or use the Website, App, or participate in any Experience.

Goosechase reserves the right to update or amend these Terms of Use at any time without prior notice. It is your responsibility to check this page periodically for changes. Your continued use of the Website, App, or participation in the Experience after any changes are posted constitutes your acceptance of the updated Terms of Use. Any new features or services added to the Website or App will also be subject to these Terms unless stated otherwise.

1. The Service

The Goosechase service (“Service”) enables users to join and complete digital missions created by Goosechase as part of a publicly available Experience. This Experience, which runs from August 1 to September 2, 2025, is inspired by, but not affiliated with, the Canada Strong Pass program.

Missions are made up of various tasks, which may include activities such as submitting photos or videos, checking-in at specific locations, or answering questions in order to receive points. In order to access the Service and start creating or contributing with other users, you must be a registered user (“User”). The Service may be used from a computer or a personal mobile device if the User has downloaded the App. 

2. Age of users

The Service is intended for individuals who are at least 18 years of age or the age of digital consent in their province or territory of residence, whichever is higher (“Designated Age”).

If you are a legal guardian facilitating participation by minors (individuals under the Designated Age), you represent and warrant that:

•  (a) minors will only access the Service using generic or anonymized accounts created and controlled by you, and will not use personal devices or create accounts linked to any identifiable personal information; (b) no personal information of any minor will be submitted to the Platform; and (c) you have obtained all necessary consents under applicable Canadian privacy laws, including PIPEDA, Québec’s Law 25, and any relevant provincial privacy and child protection laws and any other applicable Canadian privacy laws, including the British Columbia Personal Information Protection Act (BC PIPA) and Alberta's Personal Information Protection Act (AB PIPA), where applicable.

By accessing or using the Service, you represent and warrant that you:

• Are at or above the Designated Age in your province or territory of residence; or
• Are participating under the conditions described above with the appropriate consents in place.

3. DISCLAIMER OF MISSIONS

ALL MISSIONS (INCLUDING WITHOUT LIMITATION ANY CONTENT, TASKS, ACTIVITIES, EVENTS, LOCATIONS, LOCAL CONDITIONS AND CIRCUMSTANCES) ARE THE SOLE RESPONSIBILITY OF THE USERS. THIS MEANS THAT THE USER, AND NOT GOOSECHASE, IS ENTIRELY RESPONSIBLE FOR ALL MISSIONS ORGANIZED BY GOOSECHASE, AND THE USER IS ENTIRELY RESPONSIBLE FOR PARTICIPATING IN THAT MISSION  AND ANY CONSEQUENCE THAT MAY ARISE FROM THEIR PARTICIPATION IN THAT MISSION. 

USERS AND ORGANIZERS ACKNOWLEDGE THAT BY USING THE SERVICE, THEY MAY BE EXPOSED TO RISKS AND DANGERS, UNSUITABLE MISSIONS, AND OTHER CONSEQUENCES. UNDER NO CIRCUMSTANCES WILL GOOSECHASE BE LIABLE IN ANY WAY FOR ANY MISSIONS OR ANY CONSEQUENCES ARISING FROM SUCH MISSIONS, INCLUDING, BUT NOT LIMITED TO, FOR ANY ERRORS OR OMISSIONS IN ANY MISSIONS, OR FOR ANY OFFENSE, INJURY, DEATH, LOSS OR DAMAGE (WHETHER DIRECT OR INDIRECT) OF ANY KIND INCURRED OR SUFFERED AS A RESULT OF PARTICIPATING IN ANY MISSIONS MADE AVAILABLE VIA THE SERVICE. FURTHER DISCLAIMERS ARE SET OUT LATER IN THESE TERMS AND CONDITIONS.

4. Content

All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly posted or privately transmitted to the Website by Organizers or Users whether in Missions or otherwise (“User Content”), is the sole responsibility of such Users. This means that the User, and not Goosechase, is entirely responsible for all such material uploaded, posted, emailed, transmitted, or otherwise made available by using the Service. Goosechase does not control or actively monitor User content and, as such, does not guarantee the accuracy, integrity, suitability or quality of such content. Users acknowledge that by using the Service, they may be exposed to materials that are offensive, indecent or objectionable. Under no circumstances will Goosechase be liable in any way for any materials, including, but not limited to, for any errors or omissions in any materials, or for any loss or damage of any kind incurred as a result of the viewing or use of any materials posted, emailed, transmitted or otherwise made available via the Service. If your User Content will include any personal data of individuals located in the European Economic Area, you are responsible for notifying Goosechase and you may be required to enter in a Data Processing Agreement with Goosechase in order to use the Service. By expressly agreeing to these Terms, you grant Goosechase the rights outlined herein for the use of Media Materials, as described in Section 9.

5. Restrictions on User Content and Use of the Service

Goosechase reserves the right at all times (but will have no obligation) to remove or refuse to distribute any User Content and to terminate Organizers or Users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of our users and the public.

In using the Website, App and/or Service You shall not:

a. copy any content unless expressly permitted to do so herein;

b. upload, post, email, transmit or otherwise make available any material that:

i. is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially or ethnically objectionable, encourages criminal behavior, gives rise to civil liability, violates any law, or is otherwise objectionable;

ii. You do not have a right to make available under any law or under a contractual relationship;

iii. infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights);

iv. is or contains unsolicited or unauthorized advertising, solicitations for business, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

v. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or data or the Website or that of any users or viewers of the Website or that compromises a user’s privacy; or

vi. contains any falsehoods or misrepresentations or create an impression that You know is incorrect, misleading, or deceptive, or any material that could damage or harm minors in any way;

c. impersonate any person or entity or misrepresent their affiliation with a person or entity;

d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted to or through the Website or impersonate another person or organization;

e. interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

f. intentionally or unintentionally violate any applicable local, state, national or international law or regulation;

g. collect or store personal data about other users or viewers;

h. license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Website or App; or

i.modify, translate, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the App or any software provided as part of the Website, except to the extent the foregoing restrictions are expressly prohibited by applicable law.

You also agree not to access the Website in a manner that utilizes the resources of the Website more heavily than would be the case for an individual person using a conventional web browser. Notwithstanding the foregoing, operators of public search engines may use spiders or other bots for the purpose of creating publicly available searchable indices of the materials on this Website.

6. License of Content

By submitting, posting or displaying User Content on or through the Service, you grant us (and our agents) a non-exclusive, royalty-free, world-wide, perpetual license (with the right to sublicense) to use, copy, modify, transmit, display and distribute such User Content to the extent required to provide the Service. Goosechase will not be responsible or liable for any use of User Content in accordance with these Terms. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit.

7. End User License

Except for User Content, the App, this Website, the Service and the information and materials that it contains, are the property of Goosechase and its licensors, and are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws. Subject to the terms of this Agreement, Goosechase grants you a non-transferable, non-exclusive, license to (a) use the Service for your use, and (b) download, install and use one copy of the App on each mobile device that you own or control, in each case solely for your own use (the "License"). The App is licensed to you and not sold. Nothing in the Terms gives you a right to use the Goosechase or Goosechase names, trademarks, logos, domain names, and other distinctive brand features without our prior written consent. You shall not attempt to override or circumvent any of the usage rules or restrictions on the Website. Any future release, update, or other addition to functionality of the Website, App or Service shall be subject to the terms of these Terms.

8. Feedback

If You provide Goosechase with any suggestions, comments or other feedback relating to any aspect of the Website, App and/or Service ("Feedback"), Goosechase may use such Feedback in the Website or in any other Goosechase products or services (collectively, "Goosechase Offerings"). Accordingly, You agree that: (a) Goosechase is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to GooseChase, (c) Goosechase (including all of its successors and assigns and any successors and assigns of any of the Goosechase Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any Goosechase Offerings, and (d) You are not entitled to receive any compensation or reimbursement of any kind from Goosechase or any of the other users of the Website in respect of the Feedback.

You acknowledge and agree that any content you provide may be used in a de-identified or aggregated form to train or improve the performance of our AI systems and services. No personally identifiable information will be used for training purposes without your explicit consent, and we take reasonable measures to ensure compliance with applicable data protection laws.

9. Marketing

You agree that Goosechase may, from time to time in force, and to its absolute discretion, make use of any videos or pictures submitted by you and/or of you (“Media Material”), for marketing, commercial, analytical, or promotional use.

You further grant, a non-exclusive, royalty free, world-wide, perpetual license to Goosechase Adventures Inc., to use, copy, modify, transmit, display and distribute Your name, images and videos or images and videos of You, where You could be identified, or not, to be used on Goosechase Adventures Inc., social media accounts, blog, website, or for any other commercial purpose. You further release Goosechase Adventures and their respective representatives, employees, managers, members, officers, parent companies, subsidiaries, and directors, from all claims and demands arising out of or in connection with any use of Media Material, including, without limitation, all claims for invasion of privacy, infringement of rights of publicity, defamation and any other personal and/or property rights. You further acknowledge and agrees that no sums will be due to You as a result of the use and/or exploitation of Media Material, or any rights therein.

10. Links & Third-Party Websites

This Experience (including User Content) contains links to other websites that are not owned or controlled by Goosechase. In no event shall any reference to any third party, third party product or service be construed as an approval or endorsement by Goosechase of that third party, third party product or service. Goosechase, is also not responsible for the content of any linked websites. Any third-party websites or services accessed from the Website are subject to the terms and conditions of those websites and or services and You are responsible for determining those terms and conditions and complying with them. The presence on the Website of a link to any other website(s) does not imply that Goosechase, endorses or accepts any responsibility for the content or use of such websites, and You hereby release Goosechase from all liability and/damages that may arise from Your use of such websites or receipt of services from any such websites.

11. DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND CONDITIONS

THE WEBSITE, SERVICE, APP AND ALL MATERIALS PROVIDED THEREIN ARE PROVIDED "AS IS." GOOSECHASE SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, STATUTORY, BY USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY INFORMATION OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR ANY OTHER LOSS THAT RESULTS FROM DOWNLOADING OR USING ANY SUCH MATERIAL. SOME CONTENT OR FEATURES OF THE SERVICE MAY BE GENERATED, FILTERED, OR OTHERWISE INFLUENCED BY AI-BASED TECHNOLOGIES. GOOSECHASE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR APPROPRIATENESS OF ANY SUCH CONTENT AND DISCLAIMS ALL LIABILITY ARISING FROM RELIANCE ON OR USE OF SUCH OUTPUTS. GOOSECHASE DOES NOT WARRANT, ENDORSE, GUARANTEE, PROVIDE ANY CONDITIONS OR REPRESENTATIONS, OR ASSUME ANY RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY ANY THIRD PARTY THROUGH THE WEBSITE OR IN RESPECT TO ANY WEBSITE THAT CAN BE REACHED FROM A LINK ON THE WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING ON THE WEBSITE, AND GOOSECHASE SHALL NOT BE A PARTY TO ANY TRANSACTION THAT YOU MAY ENTER INTO WITH ANY SUCH THIRD PARTY. GOOSECHASE WILL NOT BE LIABLE FOR ANY TYPE OF CONTENT EXCHANGED BY MEANS OF THE
SERVICE.

12. Prizes & Competition

This promotion (the “Promotion”) is organized and administered by Goosechase Adventures Inc. (“Goosechase”).

To be eligible to participate in prize draws or redemptions, individuals must (i) create a valid Goosechase user account, (ii) join the designated public Experience, and (iii) complete one or more missions during the promotional period. No purchase is necessary to enter or win. Participation is void where prohibited or restricted by law.

Each mission is assigned a designated point value. Participants accumulate points by completing missions. Users may become eligible to receive prizes upon reaching certain point thresholds or through randomized draws based on participation. The odds of winning any random prize depend on the total number of eligible participants.

All determinations regarding mission completion, point allocation, and prize eligibility are made at the sole and final discretion of Goosechase, and are not subject to review or appeal.

Prizes

Prizes may include items contributed by Goosechase and/or its promotional partners. These may include, but are not limited to:

• Goosechase single experience or subscription licenses
• Gift cards to major retailers
• Branded merchandise, apparel, or accessories

Total approximate retail value of all prizes: $2,500 CAD. All prizes are non-transferable, non-exchangeable, and have no cash value unless expressly stated otherwise. Goosechase reserves the right to substitute any listed prize with one of equal or greater value at its sole discretion.

Some prizes may be fulfilled directly by third-party promotional partners. Goosechase is not responsible for lost, damaged, or delayed items once fulfilled by partners.

Prize collection will occur at designated pickup locations to be communicated by Goosechase. Delivery or shipping is not guaranteed.

Eligibility

This Promotion is open only to legal residents of Canada who are at least the age of majority in their province or territory of residence at the time of entry. Age of majority varies by province or territory (typically 18 or 19).

You are not eligible to enter if you are:

• A resident of a jurisdiction where this Promotion is prohibited or restricted by law;
• An employee, officer, director, or contractor of Goosechase or its affiliates, subsidiaries, advertising or promotional agencies, or prize suppliers, or a member of the immediate family (spouse, parent, sibling, or child) or household of such individuals.

Québec Residents

Residents of Québec are eligible to participate in this Promotion. Any dispute regarding the organization or conduct of this Promotion (including the awarding of prizes) may be submitted to the Régie des alcools, des courses et des jeux (the “Régie”) for a ruling. Any dispute concerning the awarding of a prize may also be submitted to the Régie solely for the purpose of reaching a settlement.

In the event of any discrepancy between the French and English versions of these terms, the French version shall prevail for residents of Québec.

Additional Requirements

Selected winners may be required to sign and return:

• An affidavit or declaration of eligibility;
• A liability and publicity release (where permitted by law); and
• Any other documentation Goosechase reasonably requires to confirm eligibility and compliance.

Failure to comply with these requirements may result in disqualification and forfeiture of the prize.

Privacy & Taxes

By participating, you agree to be bound by these Terms of Use and the decisions of Goosechase, which are final in all respects. Personal information collected from participants will be handled in accordance with Goosechase’s Privacy Policy and all applicable Canadian privacy laws, including Québec’s Law 25 where applicable.

Winners are solely responsible for any applicable federal, provincial, or local taxes and any other costs or expenses associated with accepting or using a prize.

To comply with Canadian contest laws, selected winners must correctly answer, without assistance and within a limited timeframe, a mathematical skill-testing question before being declared a winner.

13. LIMITATION OF LIABILITY

​​For residents of Québec: The following clause may limit certain rights, including rights to recover damages. Please read it carefully.

UNDER NO CIRCUMSTANCES SHALL GOOSECHASE, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHER DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES THAT RESULT FROM (I) YOUR USE OF OR YOUR INABILITY TO USE THIS WEBSITE, APP OR THE SERVICE, (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, INFORMATION OR SERVICES, (III) ERRORS, MISTAKES, OR INACCURACIES IN THE MATERIALS ON THE WEBSITE, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, ANY BUGS, VIRUSES, TROJAN HORSES, OR ANY OTHER FILES OR DATA THAT MAY BE HARMFUL TO COMPUTER OR COMMUNICATION EQUIPMENT OR DATA THAT MAY HAVE BEEN TRANSMITTED TO OR THROUGH THE WEBSITE OR APP, OR (V) ANY ERRORS OR OMISSIONS IN ANY MATERIAL ON THE WEBSITE OR ANY OTHER LOSS OR DAMAGE OF ANY KIND ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE. THESE LIMITATIONS SHALL APPLY EVEN IF GOOSECHASE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, GOOSECHASE’S LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION). THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENSION PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

14. INDEMNIFICATION

YOU SHALL INDEMNIFY AND HOLD GOOSECHASE AND THEIR SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), INCURRED IN CONNECTION WITH ANY MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH THE SERVICE AND/OR ANY VIOLATION BY YOU OF THESE TERMS OF USE.

15. Termination

Goosechase may, under certain circumstances and without prior notice, immediately terminate Your ability to access the Website or portions thereof. Cause for such termination shall include, but not be limited to, (a) breaches or violations of these Terms of Use (b) requests by law enforcement or other government agencies, (c) a request by You, (d) discontinuance or material modification to the website (or any part thereof), (e) unexpected technical, security or legal issues or problems, and/or (f) participation by You, directly or indirectly, in fraudulent or illegal activities. Termination of Your access to the Website may also include removal of some or all of the materials uploaded by You to the Website. You acknowledge and agree that all terminations may be made by Goosechase in its sole discretion and that Goosechase shall not be liable to You or any third-party for any termination of Your access to this Website or for the removal of any of the materials uploaded by You to the Website. Any termination of these terms of use by Goosechase shall be in addition to any and all other rights and remedies that Goosechase may have. The following sections shall survive any termination or expiration of this Agreement: 3, 6, 8, 9, 11, 12, 13, 18, 19 and 20.

16. Availability & Updates

Goosechase may alter, suspend, or discontinue this Website at any time and for any reason or no reason, without notice. The Website, Service and/or Goosechase App may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Goosechase may periodically add or update the information and materials on this Website without notice.

17. Use of Artificial Intelligence

Goosechase may use automated systems, including artificial intelligence (“AI”), to enhance your experience, assist with content moderation, generate responses, and/or analyze user-generated content for compliance, safety, and service improvements. While these systems are designed to operate reliably and fairly, they may make errors or produce outputs that are inaccurate or unintended. By using the Service, you acknowledge and accept the use of such automated systems.

You agree not to rely solely on outputs generated by AI features and understand that these outputs do not constitute legal, professional, or personal advice. Goosechase makes no warranties or guarantees regarding the accuracy, completeness, or reliability of any content generated, flagged, or processed by AI systems.

18. Security

Information sent or received over the Internet is generally unsecure and Goosechase cannot and does not make any representation or warranty concerning security of any communication to or from the Website or any representation or warranty regarding the interception by third parties of personal or other information. You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. Goosechase will not be liable for any loss or damage arising from your failure to comply with these requirements.

19. Force Majeur 

Goosechase shall not be liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet outages, or public health emergencies

20. Dispute Resolution 

For residents of Québec: The following clause may affect your right to bring legal proceedings before a court. Please review it carefully.

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Users waive any right to participate in a class action lawsuit or class-wide arbitration. Residents of Québec and other provinces where arbitration clauses are not enforceable may instead resolve disputes before the courts of their province of residence.

21. Choice of Law

For residents of Québec: The following clause may limit your ability to rely on the laws or courts of Québec. Please read it carefully.

This Experience is subject to all applicable federal, provincial, and municipal laws and regulations in Canada.

These Terms of Use, and any disputes arising out of or relating to them or the Experience, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of laws rules that would apply a different jurisdiction’s laws.

You irrevocably agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the courts located in Toronto, Ontario, and you consent to the jurisdiction of such courts.

22. General

These Terms of Use, together with any privacy policy that may be published on the Website, constitutes the entire agreement between the parties relating to the Website and Service and all related activities. These terms of use shall not be modified except in writing signed by both parties or by a new posting of these terms of use issued by Goosechase. If any part of these Terms of Use is held to be unlawful, void, or unenforceable, that part shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. The failure of Goosechase to exercise or enforce any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any right or provision by Goosechase must be in writing and shall only apply to the specific instance identified in such writing. You may not assign the terms of use, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise without GooseChase’s prior written consent.

Goosechase Adventures Inc. (« Goosechase », « nous », « notre(s) ») est propriétaire et exploitant du site web situé à l’adresse https://www.goosechase.com (« le Site ») et de l’application mobile Goosechase (« l’App »). Goosechase offre une expérience interactive publique (l’« Expérience ») à titre de service. L’Expérience est ouverte au public qui respecte les directives communautaires et les présentes Conditions. Aucun achat n’est requis pour participer ou gagner. L’Expérience est nulle là où elle est interdite ou restreinte et est assujettie à toutes les lois et réglementations fédérales, provinciales, territoriales ou locales applicables au Canada.

Les présentes Conditions s’appliquent à toute personne accédant ou utilisant le Site, l’App ou participant à l’Expérience, notamment :

• les utilisateurs parcourant le Site ou l’App;
• les utilisateurs créant ou participant à une Expérience;
• les utilisateurs téléversant, soumettant ou partageant du contenu via le Site ou l’App;
• les utilisateurs interagissant autrement avec les services offerts par Goosechase via le Site ou l’App.

En accédant ou en utilisant le Site, l’App ou l’Expérience, vous acceptez d’être lié par les présentes Conditions. Si vous n’acceptez pas ces Conditions, n’accédez pas et n’utilisez pas le Site, l’App ni l’Expérience.

Goosechase se réserve le droit de modifier ces Conditions à tout moment sans préavis. Il vous appartient de consulter cette page régulièrement. Votre utilisation continue après publication de modifications implique votre acceptation. Les nouvelles fonctionnalités ou services seront également assujettis à ces Conditions, sauf indication contraire.

1. Le Service

Le service Goosechase (« Service ») permet aux utilisateurs de rejoindre et exécuter des missions numériques conçues par Goosechase dans le cadre de l’Expérience publique. Cette Expérience se déroulera du 1ᵉʳ août au 2 septembre 2025 et s’inspire du programme Canada Strong Pass, sans y être affiliée.

Les missions comportent diverses tâches (soumission de photos/vidéos, pointage à des emplacements, réponses à des questions) permettant d’accumuler des points. Pour accéder au Service, vous devez être un utilisateur enregistré (« Utilisateur »). Le Service est accessible via ordinateur ou appareil mobile si l’Utilisateur a téléchargé l’App.

2. Âge des utilisateurs

Le Service s’adresse aux personnes ayant atteint l’âge de 18 ans ou l’âge du consentement numérique applicable dans leur province ou territoire, selon le plus élevé (« Âge désigné »).

Si un mineur (moins de l’Âge désigné) participe sous la supervision d’un tuteur légal, ce dernier déclare et garantit :

(a) que le mineur utilisera uniquement un compte générique ou anonymisé créé et contrôlé par lui, sans appareil personnel ni information identifiable ; (b) qu’aucune information personnelle concernant le mineur ne sera soumise ; (c) qu’il a obtenu tous les consentements requis selon les lois canadiennes sur la protection de la vie privée, notamment PIPEDA, la Loi 25 du Québec, la BC PIPA, la AB PIPA, ainsi que toute autre loi provinciale applicable.

En accédant au Service, vous déclarez et garantissez que : ‑ vous avez atteint l’Âge désigné selon votre province ou territoire ; ‑ ou que vous participez sous les conditions précitées avec les consentements requis.

3. EXONÉRATION RELATIVE AUX MISSIONS

TOUTES LES MISSIONS (y compris, sans limitation, tout contenu, tâches, activités, événements, emplacements, conditions locales et circonstances) sont sous la seule responsabilité des utilisateurs. L’utilisateur, et non Goosechase, assume l’entière responsabilité de la participation à la mission et de toute conséquence découlant de celle-ci.

LES UTILISATEURS ET ORGANISATEURS RECONNAISSENT QU’ILS PEUVENT ÊTRE EXPOSÉS À DES RISQUES, Y COMPRIS DES MISSIONS INAPPROPRIÉES OU DANGEREUSES, ET À D’AUTRES CONSÉQUENCES. EN AUCUN CAS, GOOSECHASE NE SERA RESPONSABLE DE TOUTE MISSIONS OU CONSÉQUENCE Y AFFÉRENTE, Y COMPRIS MAIS SANS S’Y LIMITER AUX ERREURS, OMISSIONS, OFFENSES, BLESSURES, DÉCÈS, PERTES DIRECTES OU INDIRECTES LIÉES À LA PARTICIPATION À UNE MISSION VIA LE SERVICE. D’AUTRES EXONÉRATIONS SONT PRÉVUES À D’AUTRES SECTIONS.

4. Contenu utilisateur

Tout contenu (informations, données, texte, logiciel, musique, son, photographies, graphiques, vidéo, messages ou autres matériels) publié ou transmis via le Site ou l’App par les utilisateurs ou organisateurs (« Contenu utilisateur ») relève de leur seule responsabilité. Goosechase ne contrôle ni n’approuve ce contenu et décline toute garantie quant à son exactitude, son intégrité, sa qualité ou son adéquation. Les utilisateurs peuvent être exposés à des contenus offensants, indécents ou inappropriés. EN AUCUN CAS GOOSECHASE NE SERA RESPONSABLE DES ERREURS, OMISSIONS, PERTES OU DOMMAGES SUBIS PA R L’UTILISATEUR À CAUSE DE CES CONTENUS.

Si votre Contenu utilisateur comprend des données personnelles d’individus situés dans l’Espace économique européen, vous devez en aviser Goosechase et conclure, au besoin, un accord de traitement des données.

En acceptant ces Conditions, vous consentez explicitement à la Section 9 concernant l’utilisation de vos contenus et supports médias.

5. Restrictions relatives au Contenu utilisateur et au Service

Goosechase se réserve le droit, sans obligation, de retirer ou refuser de diffuser du contenu, de résilier des comptes ou de récupérer des identifiants. Goosechase peut accéder, lire, conserver ou divulguer des informations si cela est nécessaire pour :

 (i) respecter une loi, un règlement ou mesure gouvernementale ; (ii) appliquer les présentes Conditions et enquêter sur toute violation ; (iii) prévenir la fraude, régler les problèmes techniques ou de sécurité ; (iv) répondre à un support utilisateur ; (v) protéger les droits, propriétés ou la sécurité des utilisateurs ou du public.

Vous vous engagez à ne pas :

a. Copier tout contenu sauf autorisation expresse; b. Publier du contenu qui :i. est illégal, nuisible, menaçant, abusif, harcelant, diffamatoire, vulgaire, obscène, pornographique, violent, intrusif de la vie privée d’autrui, haineux, encourageant à commettre un crime, ou tout autre contenu susceptible d’engendrer une responsabilité civile ou violer une loi; ii. n’est pas légalement transférable; iii. porte atteinte aux droits de propriété intellectuelle ou droits à la vie privée; iv. contient de la publicité non sollicitée, du pourriel, des chaînes, des stratagèmes pyramidaux ou toute forme de sollicitation; v. comprend des virus, logiciels malveillants ou tout code visant à dégrader ou interrompre toute infrastructure informatique; vi. comporte des fausses déclarations ou tromperies, ou pourrait nuire aux mineurs;c. Usurper l’identité de tiers ou prétendre représenter une entité sans autorisation; d. Falsifier les entêtes ou masquer l’origine du contenu; e. Perturber les Services, enfreindre les systèmes ou réseaux, contourner les règles, scanner la sécurité des systèmes sans autorisation; f. Violer toute loi locale, nationale ou internationale; g. Collecter ou stocker des données personnelles d’autres utilisateurs; h. Exploiter commercialement le Site ou l’App; i. Modifier, traduire, dériver, désassembler, décompiler ou rétro‑concevoir l’App ou les logiciels associés, sauf si la loi l’autorise expressément.

Vous vous engagez à ne pas consommer de manière abusive les ressources du Site. Les moteurs de recherche publics peuvent toutefois accéder aux contenus pour indexation.

6. Licence du Contenu utilisateur

En publiant du Contenu utilisateur via le Service, vous accordez à Goosechase une licence mondiale, gratuite, non exclusive, perpétuelle et avec droit de sous-licence pour utiliser, copier, modifier, transmettre, afficher et distribuer ce Contenu, dans la mesure nécessaire à l’exploitation du Service. Vous garantissez détenir tous les droits nécessaires à l’octroi de cette licence.

7. Licence d’utilisation finale

Sous réserve du Contenu utilisateur, l’App, le Site, le Service et les matériels qu’ils contiennent sont la propriété de Goosechase ou de ses concédants, protégés par le droit d’auteur et les marques commerciales. Sous réserve des présentes Conditions, Goosechase vous octroie une licence non transférable et non exclusive pour utiliser le Service et installer une copie de l’App sur chaque appareil mobile que vous possédez ou contrôlez, exclusivement à titre personnel. L’App est concédée, non vendue. Vous n’êtes pas autorisé à utiliser les marques ou éléments distinctifs Goosechase sans consentement écrit. Toute mise à jour ou amélioration de l’App ou du Site sera soumise à ces Conditions.

8. Commentaires

Vous acceptez que tout commentaire ou suggestion (« Feedback ») communiqué à Goosechase puisse être utilisé librement dans les produits ou services Goosechase, sans obligation de confidentialité, sans compensation pour vous.Vous reconnaissez que vos contenus anonymisés peuvent être utilisés pour entraîner des systèmes d’intelligence artificielle, sans recourir à des données personnelles identifiables, sauf accord préalable.

9. Marketing

Vous acceptez que Goosechase puisse, à sa discrétion, utiliser gratuitement vos médias (vidéos, photos) pour des fins marketing, commerciales ou analytiques. Vous octroyez une licence mondiale, gratuite, non exclusive et perpétuelle permettant à Goosechase d’utiliser votre nom et vos médias, publiables sur les plateformes ou canaux Goosechase, que vous soyez identifiable ou non. Vous renoncez à toute réclamation liée à cette utilisation, notamment en matière de vie privée, droits à l’image ou diffamation. Vous reconnaissez ne recevoir aucune compensation.

10. Liens vers des sites tiers

L’Expérience peut inclure des liens vers des sites non contrôlés par Goosechase. En aucun cas ces liens ne constituent une approbation. Goosechase décline toute responsabilité quant au contenu ou aux conditions des sites tiers. Vous êtes tenu de vérifier et respecter leurs conditions d’utilisation et relevez Goosechase de toute responsabilité liée à leur utilisation.

11. EXONÉRATION DE GARANTIES ET CONDITIONS

LE SITE, L’APP, LE SERVICE ET TOUS LES MATÉRIAUX QUI Y SONT FOURNIS SONT OFFERTS « TELS QUELS ». GOOSECHASE DÉCLINE TOUTES GARANTIES EXPLICITES, IMPLICITES OU LÉGALES, INCLUANT MAIS SANS S’Y LIMITER À : SATISFAISFACTION, ADÉQUATION À UN USAGE PARTICULIER, NON‑VIOLATION, PROPRIÉTÉ OU QUALITÉ MARCHANDE. Toute information téléchargée ou obtenue par le Service l’est à vos risques, Goosechase ne pouvant être tenu responsable des dommages informatiques ou perte de données. Certaines fonctionnalités peuvent être générées par IA. Goosechase ne garantit ni l’exactitude, ni l’intégralité ou l’absence d’erreur de ce contenu automatisé. Goosechase n’assume aucune responsabilité concernant les produits tiers ou toute publicité diffusée via le Service.

12. Prix et concours

La promotion (la « Promotion ») est organisée et administrée par Goosechase Adventures Inc.

Admissibilité : Pour participer à des tirages ou recevoir des prix, vous devez (i) créer un compte utilisateur valide Goosechase, (ii) rejoindre l’Expérience publique, et (iii) compléter au moins une mission pendant la période promotionnelle. Aucun achat n’est requis. Participation nulle là où interdite ou restreinte.

Fonctionnement : Chaque mission attribue un nombre de points. Les participants peuvent obtenir des prix à des paliers de points ou par tirages au sort. Les probabilités de gagner un prix au hasard dépendent du nombre de participants éligibles. Toutes les décisions sur l’achèvement des missions, la distribution des points et l’attribution des prix sont à la seule discrétion de Goosechase et ne peuvent être contestées.

Prix:

Les prix peuvent comprendre des articles offerts par Goosechase et/ou par ses partenaires promotionnels. Ces prix peuvent inclure, sans s’y limiter :

• Des licences pour une expérience unique ou un abonnement à la plateforme Goosechase
• Des cartes-cadeaux échangeables chez des détaillants d’envergure
• Des articles promotionnels, des vêtements ou des accessoires de marque

La valeur au détail totale approximative de l’ensemble des prix est de 2 500 $ CA.Tous les prix sont non transférables, non monnayables et ne peuvent être échangés, sauf indication contraire expresse. Goosechase se réserve le droit, à son entière discrétion, de remplacer tout prix annoncé par un prix de valeur égale ou supérieure.

Certains prix pourraient être expédiés directement par des partenaires promotionnels tiers. Goosechase décline toute responsabilité en cas de perte, de bris ou de retard de livraison une fois la remise effectuée par ces partenaires.

Les modalités de remise des prix seront communiquées par Goosechase. La livraison ou l’expédition des prix n’est pas garantie.

Retrait : Les gagnants doivent récupérer les prix aux emplacements désignés par Goosechase. La livraison n’est pas garantie.

Admissibilité : Ouvert aux résidents légaux du Canada ayant atteint la majorité provinciale (18 ou 19 ans selon la province). Exclusions : Employés, dirigeants, administrateurs, contractuels de Goosechase ou affiliés, participants à la promotion ou fournisseurs de prix, ainsi que leurs membres de famille immédiate ou résidents du même foyer.

Québec : Les résidents du Québec sont éligibles. Tout litige concernant l’organisation ou les résultats de la Promotion peut être soumis à la Régie des alcools, des courses et des jeux. En cas de divergence entre la version française et anglaise, la version française prévaut pour les résidents du Québec.

Documents requis : Les gagnants peuvent devoir fournir : un affidavit ou déclaration d’éligibilité, une décharge de responsabilité et de publication (lorsque permise), ainsi que tout autre document requis. Le non‑respect entraînera la disqualification.

Vie privée et taxes : La collecte et l’utilisation des renseignements personnels respectent la Politique de confidentialité et les lois canadiennes, y compris la Loi 25 du Québec. Les gagnants sont responsables de toute taxe fédérale, provinciale ou locale, ainsi que des frais liés à l’acceptation ou l’utilisation du prix.

Question d’habileté : Pour se conformer à la loi canadienne sur les concours, les gagnants devront répondre correctement, sans aide et dans un délai limité, à une question mathématique avant d’être déclarés gagnants.

13. LIMITATION DE RESPONSABILITÉ

Pour les résidents du Québec : la clause suivante peut limiter certains droits, y compris le droit à des recours. Veuillez la lire attentivement. EN AUCUN CAS, GOOSECHASE NE SERA RESPONSABLE DE TOUT DOMMAGE DIRECT, INDIRECT, ACCESSOIRE, SPÉCIAL, CONSÉCUTIF OU EXEMPLAIRE, NOTAMMENT CEUX RÉSULTANT DE : (I) VOTRE UTILISATION OU INUTILISATION DU SITE, DE L’APP OU DU SERVICE; (II) COÛT DE SUBSTITUTION DE BIENS, DONNÉES OU SERVICES; (III) ERREURS, MISTAKES OU INEXACTITUDES DU CONTENU DU SITE; (IV) BLESSURES, DOMMAGES MATÉRIELS OU AUTRES DOMMAGES LIÉS AU SERVICE; (V) VIRUS, LOGICIELS MALVEILLANTS OU TOUT AUTRE FICHIER NUISIBLE OU INEXACTITUDES. CES LIMITATIONS S’APPLIQUERONT MÊME SI GOOSECHASE A ÉTÉ INFORMÉ DE LA POSSIBILITÉ DE TELS DOMMAGES, DANS LA MESURE PERMISE PAR LA LOI.

14. INDEMNISATION

VOUS INDEMNISEZ ET TENEZ GOOSECHASE ET SES FILIALES, AFFILIÉS, DIRIGEANTS, ADMINISTRATEURS, AGENTS ET EMPLOYÉS À L’ABRI DE TOUTE RÉCLAMATION, PROCÉDURE, DEMANDE, DOMMAGE, PERTE, FRAIS OU DÉPENSE (Y COMPRIS LES HONORAIRES D’AVOCAT RAISONNABLES) DÉCOULANT DU CONTENU QUE VOUS AVEZ PUBLIÉ OU DE VOTRE VIOLATION DES PRÉSENTES CONDITIONS.

15. RÉSILIATION

Goosechase peut résilier immédiatement votre accès au Site, App ou Service, sans préavis ni responsabilité, en cas de violation, demande légale, fraude, changement majeur, problème technique, ou activité illégale. En cas de résiliation, Goosechase peut également supprimer tout contenu associé. Les sections 3, 6, 8, 9, 11, 12, 13, 18, 19 et 20 survivent à cette résiliation.

16. DISPONIBILITÉ ET MISES À JOUR

Goosechase peut modifier, suspendre ou interrompre le Site, l’App ou le Service à tout moment, pour toute raison, sans avertissement. Des interruptions peuvent survenir pour des raisons de maintenance ou de défaillance technique.

17. UTILISATION DE L’INTELLIGENCE ARTIFICIELLE

Goosechase peut utiliser des systèmes automatisés, y compris l’intelligence artificielle, pour améliorer l’expérience, modérer les contenus, générer des réponses ou analyser les usages pour le respect des règles, la sécurité ou l’amélioration du Service. Bien que conçus pour fonctionner de manière fiable, ces systèmes peuvent produire des erreurs ou des résultats inattendus. En utilisant le Service, vous reconnaissez ces limites, acceptez de ne pas fonder vos décisions uniquement sur leurs sorties, et vous convenez qu’elles ne constituent pas un avis juridique, professionnel ou personnel. En cas de contenu généré jugé inexact, inapproprié ou nuisible, veuillez nous contacter à hi@goosechase.com.

18. SÉCURITÉ

Les communications sur Internet ne sont pas sécurisées; Goosechase ne garantit aucune sécurité lors de la transmission ou de la réception d’informations. Vous êtes responsable de la confidentialité de votre mot de passe et de toute activité effectuée à partir de votre compte. Goosechase décline toute responsabilité pour pertes dues à une sécurité insuffisante de votre part.

19. FORCE MAJEURE

Goosechase ne pourra être tenu responsable d’un manquement ou retard dans l’exécution de ses obligations dû à un événement hors de son contrôle, notamment catastrophe naturelle, acte gouvernemental, pandémie, panne Internet ou urgence sanitaire.

20. RÈGLEMENT DES LITIGES

Pour les résidents du Québec : la clause ci-dessous peut restreindre votre recours à la justice. Veuillez la lire attentivement. Sauf disposition contraire de la loi, tout différend, réclamation ou contestation découlant des présentes Conditions sera résolu par arbitrage exécutoire conformément aux règles de l’American Arbitration Association. Vous renoncez à intenter une action collective ou recours collectif. Les résidents du Québec ou de provinces où l’arbitrage n’est pas applicable peuvent porter leur différend devant le tribunal de leur province de résidence.

21. DROIT APPLICABLE ET JURIDICTION

Pour les résidents du Québec : la clause ci-dessous peut limiter votre accès aux lois ou tribunaux du Québec. Veuillez la lire attentivement. Ces Conditions sont régies par les lois de la Province d’Ontario et les lois fédérales du Canada, sans égard aux règles de conflit de lois. Vous acceptez que toute action légale liée aux présentes soit portée exclusivement devant les tribunaux de Toronto (Ontario) et consentez à exercer votre recours devant ces tribunaux.

22. DISPOSITIONS GÉNÉRALES

Ces Conditions et toute politique de confidentialité forment l’intégralité de l’entente entre les parties. Elles ne peuvent être modifiées que par un écrit signé par les deux parties ou par la publication de nouvelles Conditions. Si une disposition est jugée illégale, nulle ou inapplicable, elle sera dissociée sans affecter la validité du reste. Le fait que Goosechase n’exerce pas un droit ou ne fasse pas appliquer une clause ne constitue pas une renonciation, sauf écrit signé. Vous ne pouvez céder ces Conditions sans consentement écrit de Goosechase.
