GOOSECHASE ADVENTURES INC. ("GOOSECHASE") OWNS AND OPERATES THE WEBSITE LOCATED AT https://www.goosechase.com/ (THE "WEBSITE"), THE GOOSECHASE MOBILE APPLICATION (THE "APP") AND THE GOOSECHASE WEB APPLICATION ACCESSIBLE THROUGH A SUPPORTED WEB BROWSER (THE "WEB APP").
HOLES IN THE WALL COLLECTIVE, INC ("HWC") OWNS AND OPERATES THE WEBSITE LOCATED AT https://www.holesinthewallcollective.org. HWC IS A NEW YORK REGISTERED 501(C)(3), A FEDERALLY RECOGNIZED NONPROFIT CORPORATION WITH THE EIN: 83-1062956.
HWC HAS CREATED THIS EXPERIENCE AS A PUBLIC SERVICE AND IS THEREFORE OPEN TO THE GENERAL PUBLIC IF PARTICIPANTS ABIDE BY COMMUNITY STANDARDS SET HEREIN. NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED BY LAW. THIS EXPERIENCE IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS.

1. The Service
The Goosechase service (the "Service") allows users to create, join and complete missions created by Holes in the Wall Collective, Inc (HWC) for their ongoing programming in 2026. Missions are made up of various tasks, which may include activities such as submitting photos or videos, checking in at specific locations, or answering questions in order to receive points.
The Service may be used from a personal mobile device on which the User has downloaded the App, or from a computer, tablet or mobile device through the Web App using a supported web browser. References in these Terms of Use to the "App" mean the native mobile application unless the context indicates otherwise, and references to the "Web App" mean the Goosechase web application available through a supported web browser. Except where these Terms of Use say otherwise, they apply equally however you access the Service.
In order to access the Service you must either be a registered user ("User") or join as a guest where HWC has enabled guest access for an Experience. Guest access allows you to take part without creating an account.
2. Age of users
The Service is designed to be used by individuals who are over the age of thirteen. The Service is not intended to be used by users under the "Designated Age", which shall be the greater of thirteen or the age designated in your local jurisdiction in respect of processing personal data. If you are an Organizer organizing Experiences for individuals who are under the Designated Age in your jurisdiction, then you represent and covenant that (i) such individuals shall only use mobile devices or computers provided by you, and not their own devices; (ii) such individuals shall only use generic accounts created by you on their behalf, which are not associated with any individual, or an anonymized guest account made available by Goosechase; (iii) no personal information regarding such individuals shall be uploaded into the Service (whether through the creation of user accounts, uploaded User Content (as defined below) or otherwise); and (iv) you shall have obtained all the requisite consents required under applicable law in respect of the use of the Service from the parents or guardians of such individuals. To partake in any alcohol consumption related to the Experience, users must be 21 years of age. If you are a User then you represent and warrant that you are over the Designated Age in your jurisdiction, or are otherwise only using the Service in the manner specified above.
3. DISCLAIMER OF MISSIONS
ALL MISSIONS (INCLUDING WITHOUT LIMITATION ANY CONTENT, TASKS, ACTIVITIES, EVENTS, LOCATIONS, LOCAL CONDITIONS AND CIRCUMSTANCES) ARE THE SOLE RESPONSIBILITY OF THE USERS. THIS MEANS THAT THE USER, AND NOT GOOSECHASE OR HWC, IS ENTIRELY RESPONSIBLE FOR ALL MISSIONS ORGANIZED BY HWC, AND THE USER IS ENTIRELY RESPONSIBLE FOR PARTICIPATING IN THAT MISSION AND ANY CONSEQUENCE THAT MAY ARISE FROM THEIR PARTICIPATION IN THAT MISSION.
GOOSECHASE DOES NOT CONTROL OR ACTIVELY MONITOR MISSIONS AND, AS SUCH, DOES NOT GUARANTEE THE SAFETY, INTEGRITY, SUITABILITY OR QUALITY OF ANY SUCH MISSIONS. USERS AND ORGANIZERS ACKNOWLEDGE THAT BY USING THE SERVICE, THEY MAY BE EXPOSED TO RISKS AND DANGERS, UNSUITABLE MISSIONS, AND OTHER CONSEQUENCES. UNDER NO CIRCUMSTANCES WILL GOOSECHASE OR HWC BE LIABLE IN ANY WAY FOR ANY MISSIONS OR ANY CONSEQUENCES ARISING FROM SUCH MISSIONS, INCLUDING, BUT NOT LIMITED TO, FOR ANY ERRORS OR OMISSIONS IN ANY MISSIONS, OR FOR ANY OFFENSE, INJURY, DEATH, LOSS OR DAMAGE (WHETHER DIRECT OR INDIRECT) OF ANY KIND INCURRED OR SUFFERED AS A RESULT OF PARTICIPATING IN ANY MISSIONS MADE AVAILABLE VIA THE SERVICE. FURTHER DISCLAIMERS ARE SET OUT LATER IN THIS AGREEMENT.
4. Content
All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly posted or privately transmitted to the Website, the App or the Web App by Organizers or Users whether in Missions or otherwise ("User Content"), is the sole responsibility of such Users. This means that the User, and not Goosechase or HWC, is entirely responsible for all such material uploaded, posted, emailed, transmitted, or otherwise made available by using the Service. Goosechase does not control or actively monitor User Content and, as such, does not guarantee the accuracy, integrity, suitability or quality of such content. Users acknowledge that by using the Service, they may be exposed to materials that are offensive, indecent or objectionable. Under no circumstances will Goosechase or HWC be liable in any way for any materials, including, but not limited to, for any errors or omissions in any materials, or for any loss or damage of any kind incurred as a result of the viewing or use of any materials posted, emailed, transmitted or otherwise made available via the Service. If your User Content will include any personal data of individuals located in the European Economic Area, you are responsible for notifying Goosechase and you may be required to enter into a Data Processing Agreement with Goosechase in order to use the Service.
5. Restrictions on User Content and Use of the Service
Goosechase and HWC reserve the right at all times (but will have no obligation) to remove or refuse to distribute any User Content and to terminate Organizers or Users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of our users and the public.
In using the Website, App, Web App and/or Service You shall not:
a. copy any content unless expressly permitted to do so herein;
b. upload, post, email, transmit or otherwise make available any material that:
i. is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially or ethnically objectionable, encourages criminal behavior, gives rise to civil liability, violates any law, or is otherwise objectionable;
ii. You do not have a right to make available under any law or under a contractual relationship;
iii. infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights);
iv. is or contains unsolicited or unauthorized advertising, solicitations for business, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
v. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or data or the Website, the App or the Web App, or that of any users or viewers of the Website, or that compromises a user's privacy; or
vi. contains any falsehoods or misrepresentations or creates an impression that You know is incorrect, misleading, or deceptive, or any material that could damage or harm minors in any way;
c. impersonate any person or entity or misrepresent their affiliation with a person or entity;
d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted to or through the Website or impersonate another person or organization;
e. interfere with or disrupt the Website, the App, the Web App or servers or networks connected to them, or disobey any requirements, procedures, policies or regulations of networks connected to the Website, or probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
f. intentionally or unintentionally violate any applicable local, state, national or international law or regulation;
g. collect or store personal data about other users or viewers;
h. license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Website, the App or the Web App; or
i. modify, translate, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the App, the Web App, or any software provided as part of the Website, except to the extent the foregoing restrictions are expressly prohibited by applicable law.
You also agree not to access the Website or the Web App in a manner that utilizes their resources more heavily than would be the case for an individual person using a conventional web browser. Notwithstanding the foregoing, operators of public search engines may use spiders or other bots for the purpose of creating publicly available searchable indices of the materials on this Website.
6. License of Content
By submitting, posting or displaying User Content on or through the Service, you grant us (and our agents) a non-exclusive, royalty-free, world-wide, perpetual license (with the right to sublicense) to use, copy, modify, transmit, display and distribute such User Content to the extent required to provide the Service. Goosechase will not be responsible or liable for any use of User Content in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any User Content that you submit.
7. End User License
Except for User Content, the App, the Web App, this Website, the Service and the information and materials that they contain, are the property of Goosechase and its licensors, and are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws. Subject to the terms of this Agreement, Goosechase grants you a non-transferable, non-exclusive license to (a) use the Service for your use, (b) download, install and use one copy of the App on each mobile device that you own or control, and (c) access and use the Web App through a supported web browser, in each case solely for your own use (the "License"). The App and the Web App are licensed to you and not sold. Nothing in the Terms gives you a right to use the Goosechase names, trademarks, logos, domain names, and other distinctive brand features without our prior written consent. You shall not attempt to override or circumvent any of the usage rules or restrictions on the Website, the App or the Web App. Any future release, update, or other addition to functionality of the Website, App, Web App or Service shall be subject to the terms of these Terms.
8. Feedback
If You provide Goosechase with any suggestions, comments or other feedback relating to any aspect of the Website, App, Web App and/or Service ("Feedback"), Goosechase may use such Feedback in the Website or in any other Goosechase products or services (collectively, "Goosechase Offerings"). Accordingly, You agree that: (a) Goosechase is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to Goosechase, (c) Goosechase (including all of its successors and assigns and any successors and assigns of any of the Goosechase Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any Goosechase Offerings, and (d) You are not entitled to receive any compensation or reimbursement of any kind from Goosechase or any of the other users of the Website in respect of the Feedback.
You acknowledge and agree that any content you provide may be used in a de-identified or aggregated form to train or improve the performance of our AI systems and services. No personally identifiable information will be used for training purposes without your explicit consent, and we take reasonable measures to ensure compliance with applicable data protection laws. Goosechase's use of artificial intelligence in the Service, including the third-party AI providers we use, is described in our AI Use Policy at https://www.goosechase.com/ai-use-policy.
9. Marketing
You agree that Goosechase and/or HWC may, from time to time and at their absolute discretion, make use of any videos or pictures submitted by you and/or of you ("Media Material"), for marketing, commercial, analytical, or promotional use.
You further grant a non-exclusive, royalty free, world-wide, perpetual license to Goosechase Adventures Inc. and Holes in the Wall Collective, Inc. , to use, copy, modify, transmit, display and distribute Your name, images and videos or images and videos of You, where You could be identified, or not, to be used on their social media accounts, blog, website, or for any other commercial purpose. You further release those parties and their respective representatives, employees, managers, members, officers, parent companies, subsidiaries, and directors, from all claims and demands arising out of or in connection with any use of Media Material, including, without limitation, all claims for invasion of privacy, infringement of rights of publicity, defamation and any other personal and/or property rights. You further acknowledge and agree that no sums will be due to You as a result of the use and/or exploitation of Media Material, or any rights therein.
10. Links & Third-Party Websites
This Experience (including User Content) contains links to other websites that are not owned or controlled by Goosechase or HWC. In no event shall any reference to any third party, third party product or service be construed as an approval or endorsement by Goosechase of that third party, third party product or service. Goosechase and/or HWC is also not responsible for the content of any linked websites. Any third-party websites or services accessed from the Website, the App or the Web App are subject to the terms and conditions of those websites and/or services and You are responsible for determining those terms and conditions and complying with them. The presence of a link to any other website(s) does not imply that Goosechase and/or HWC endorses or accepts any responsibility for the content or use of such websites, and You hereby release Goosechase from all liability and/or damages that may arise from Your use of such websites or receipt of services from any such websites.
11. DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND CONDITIONS
THE WEBSITE, SERVICE, APP, WEB APP AND ALL MATERIALS PROVIDED THEREIN ARE PROVIDED "AS IS." GOOSECHASE SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, STATUTORY, BY USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY INFORMATION OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR ANY OTHER LOSS THAT RESULTS FROM DOWNLOADING OR USING ANY SUCH MATERIAL. 12. Prizes & Competition
This Promotion is organized and administered by Holes in the Wall Collective, Inc. ("HWC"), with support from Goosechase Adventures Inc.
To be eligible to participate in prize draws, participants must create a valid user account, join the Experience, and complete missions during the promotional period, which runs from dawn on 9/19 2026 to sunset on 9/27 2026. No purchase is necessary to enter or win. Participation is void where prohibited by law.
Each mission is worth a designated number of points. Users may be eligible to redeem points for prizes upon reaching certain thresholds, and HWC may also conduct one or more sweepstakes to award additional prizes at random to eligible participants, regardless of point totals. Odds of winning any random prize depend on the number of eligible entries received. All determinations of point awards, mission completion, and prize eligibility are at the sole and final discretion of HWC and are not subject to appeal.

HWC and its partners reserve the right to substitute any listed prize with one of equal or greater value. Prizes are non-transferable and have no cash value unless otherwise specified.
Winners may be required to complete and return an affidavit of eligibility, a liability/publicity release (where permitted), and any other documentation reasonably requested by HWC prior to receiving a prize. Failure to comply may result in disqualification. Prize pickups will take place at designated locations to be announced by HWC. Delivery or shipping is not guaranteed.
This Promotion is open only to legal residents of Canada and the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age or older at the time of entry, except:
19 years of age or older in Alabama and Nebraska;
21 years of age or older in Mississippi.
This Promotion is void where prohibited or restricted by law, including jurisdictions requiring registration or bonding for prize giveaways.
Employees of the Promotion Entities, and their immediate family members and household members, are not eligible to win.

Winners are solely responsible for any federal, state, provincial, or local taxes, and any other costs or expenses associated with the acceptance or use of any prize.
All third-party trademarks are the property of their respective owners. This Promotion is not endorsed, sponsored, or administered by Patagonia, Lofty Pigeon Books, Variety Coffee, the DEP, NYSCI, NY Aquarium or any other prize contributor.
13. LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES SHALL GOOSECHASE OR HWC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHER DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES THAT RESULT FROM (I) YOUR USE OF OR YOUR INABILITY TO USE THIS WEBSITE, APP, WEB APP OR THE SERVICE, (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, INFORMATION OR SERVICES, (III) ERRORS, MISTAKES, OR INACCURACIES IN THE MATERIALS ON THE WEBSITE, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, ANY BUGS, VIRUSES, TROJAN HORSES, OR ANY OTHER FILES OR DATA THAT MAY BE HARMFUL TO COMPUTER OR COMMUNICATION EQUIPMENT OR DATA THAT MAY HAVE BEEN TRANSMITTED TO OR THROUGH THE WEBSITE, THE APP OR THE WEB APP, OR (V) ANY ERRORS OR OMISSIONS IN ANY MATERIAL ON THE WEBSITE OR ANY OTHER LOSS OR DAMAGE OF ANY KIND ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE. 14. INDEMNIFICATION
YOU SHALL INDEMNIFY AND HOLD GOOSECHASE AND HWC AND THEIR SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), INCURRED IN CONNECTION WITH ANY MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH THE SERVICE AND/OR ANY VIOLATION BY YOU OF THESE TERMS OF USE.
15. Termination
Goosechase and/or HWC may, under certain circumstances and without prior notice, immediately terminate Your ability to access the Website, the App, the Web App or portions thereof. Cause for such termination shall include, but not be limited to, (a) breaches or violations of these Terms of Use, (b) requests by law enforcement or other government agencies, (c) a request by You, (d) discontinuance or material modification to the Website, the App or the Web App (or any part thereof), (e) unexpected technical, security or legal issues or problems, and/or (f) participation by You, directly or indirectly, in fraudulent or illegal activities. Termination of Your access may also include removal of some or all of the materials uploaded by You. You acknowledge and agree that all terminations may be made by Goosechase in its sole discretion and that Goosechase shall not be liable to You or any third party for any termination of Your access or for the removal of any of the materials uploaded by You. Any termination of these Terms of Use by Goosechase shall be in addition to any and all other rights and remedies that Goosechase may have. The following sections shall survive any termination or expiration of this Agreement: 3, 6, 8, 9, 11, 12, 13, 14, 18, 19, 20 and 21.
16. Availability & Updates
Goosechase may alter, suspend, or discontinue this Website, the App or the Web App at any time and for any reason or no reason, without notice. The Website, Service, App and/or Web App may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Goosechase may periodically add or update the information and materials on this Website without notice.
17. Security
Information sent or received over the Internet is generally unsecure and Goosechase cannot and does not make any representation or warranty concerning security of any communication to or from the Website, the App or the Web App, or any representation or warranty regarding the interception by third parties of personal or other information. You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. If you are playing through the Web App on a shared or public computer, you should sign out when you have finished, as your session will otherwise remain active on that browser. Goosechase will not be liable for any loss or damage arising from your failure to comply with these requirements.
18. Privacy and Data Protection
Goosechase's collection and use of personal information in connection with the Website, the App, the Web App and the Service is governed by the following policies, which are incorporated into these Terms of Use by reference and which you should read before taking part:

In particular, those policies explain: the options for taking part, which are guest access with no account, a standard account, or single sign-on where an organization has enabled it; what is stored in your browser when you play through the Web App, which is limited to what is needed to keep you signed in and remember your preferences, and is not used to build advertising profiles or to fingerprint participants; that no advertising cookies are used on the participant Web App; how Goosechase responds to Global Privacy Control signals; and where information is stored and for how long.
HWC's own use of any information you provide directly to HWC, including outside the Service, is governed by HWC's own privacy practices and not by the Goosechase policies listed above.
19. Force Majeure
Goosechase and HWC shall not be liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet outages, or public health emergencies.
20. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Users waive any right to participate in a class action lawsuit or class-wide arbitration.
21. Choice of Law
THIS EXPERIENCE IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS.
These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the State of New York and the federal laws of the United States of America applicable therein, without regard to conflicts of law principles.
22. General
These Terms of Use, together with the policies referred to in section 18, constitute the entire agreement between the parties relating to the Website, the App, the Web App and the Service and all related activities. These Terms of Use shall not be modified except in writing signed by both parties or by a new posting of these Terms of Use issued by Goosechase. If any part of these Terms of Use is held to be unlawful, void, or unenforceable, that part shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. The failure of Goosechase to exercise or enforce any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any right or provision by Goosechase must be in writing and shall only apply to the specific instance identified in such writing. You may not assign these Terms of Use, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise, without Goosechase's prior written consent.
